1. Acceptance of Terms
By accessing or using the Digital Bar Club LLC platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization (such as a private club), you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Digital Bar Club LLC provides a bar operations management platform designed exclusively for private clubs. The Service includes tools for shift tracking, task management, team communication, operational checklists, member insight tracking, and related features as described on our website. We may update, modify, or discontinue features of the Service at our discretion with reasonable notice.
3. User Accounts
To use the Service, your club will be set up with an account during onboarding by the Digital Bar Club LLC team. Once your account is active, you are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring that all users added to your club's account comply with these Terms
- Providing accurate and up-to-date account information
You must notify us immediately of any unauthorized use of your account or any other breach of security.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or its systems
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or provide the Service to third parties without authorization
- Upload harmful code, viruses, or any content designed to damage or disrupt the Service
5. Intellectual Property
The Service, including its design, features, content, logos, and underlying technology, is the property of Digital Bar Club LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.
Your club retains ownership of the data you enter into the platform. By using the Service, you grant Digital Bar Club LLC a limited license to use this data solely to provide and improve the Service.
6. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.
7. Payment & Subscription
Access to the Service requires a paid subscription. Pricing details are provided during the onboarding process and may vary based on the experience tier selected. Subscriptions may be billed monthly or annually as agreed upon.
You agree to pay all fees associated with your subscription. We reserve the right to adjust pricing with reasonable advance notice. Cancellations can be made at any time with no cancellation fees; access continues through the end of the current billing period.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DIGITAL BAR CLUB LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT GUARANTEE SPECIFIC RESULTS FROM USE OF THE SERVICE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL BAR CLUB LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO DIGITAL BAR CLUB LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Digital Bar Club LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Termination
Either party may terminate the subscription at any time. You may cancel your subscription through your account or by contacting us. Digital Bar Club LLC may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice.
Upon termination, your right to use the Service ceases. We will retain your data for a reasonable period to allow for reactivation, after which it will be securely deleted in accordance with our Privacy Policy.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
